PCE Executes ESOP Transaction for Level 10

HOFFMAN ESTATES, IL –  PCE Investment Bankers, Inc., a leading financial services firm for mid-market companies, is pleased to announce that the shareholders of Level 10 have completed the sale of their stock to the Level 10 Employee Stock Ownership Plan (ESOP) Trust. PCE offers clients a full range of investment banking, ESOP, valuation, and advisory services.

Founded in 2001 by John Pruban, Level 10 has become the leader in IT support to retail operations.  Level 10 works with merchants to fulfill hardware procurement, staging & integration, maintenance, field services and help desk needs during important events such as technology deployments, store openings/closings/remodels, as well as in-store support work.

PCE guided Level 10 through the feasibility study, providing them a breadth of options, and then through the ESOP formation process, raised the capital and structured a smooth transaction.

Mr. Pruban stated, “We had been intrigued by an ESOP for several years when considering our ownership transition options.  While other options were available, we found the ESOP to exceed all our needs, both personally and corporately. Providing our employees, who helped us build Level 10, with ownership will ensure a longstanding legacy for their {our} company.  The ESOP was a natural extension of the efforts & cultural alignment we have built to date and allows us to transition while continuing in that quest.  PCE was the central component in the entire process from education to structuring, liquidity options and leading the transaction.  I look forward to continuing our relationship with the PCE team.”

Eric Zaleski of PCE commented, “Level 10 is a very customer-focused and team-oriented organization.  The Prubans’ desire to reward their employees with ownership through the ESOP plan further emphasizes these two key corporate attributes.  John and Christine will remain a vital part of Level 10 executive management, continuing to guide the company and its new employee owners into the future.”

About Level 10: With increasing IT challenges, Level 10 recognizes that merchants need less partners to do more. By strategically bundling services–like hardware procurement, key injection, staging & integration, maintenance, field services and help desk–Level 10 acts as an extension of retailers’ IT teams through technology deployments, store openings/closings/remodels and instore support work.
