PCE Investment Bankers, a leading financial services firm for mid-market companies, is pleased to announce the shareholders of Forum Architecture & Interior Design (Forum) have sold the remaining interest to the Forum Architecture & Interior Design Employee Stock Ownership Plan (ESOP) Trust as part of a 100% ESOP transaction. PCE served as the financial advisor to Forum.
Forum’s existing ESOP has owned a minority interest stake in the company since 2004 when the ESOP was first established. With the objective of remaining independent and privately owned, Stoehr and Black decided to transfer 100% ownership to the employees.
PCE guided Forum through the feasibility study, providing them a range of options, raised the capital and structured a smooth transaction.
Black, reflecting on the transaction, stated “We are very excited to complete the transition of ownership to the individuals that have been so instrumental in the company’s success. PCE helped us structure and close a transaction that achieves all of our goals.”
